Platform Purpose
Cooper is designed to:

- enable organizations and individuals to discover authentic human signals
- support collaboration, opportunities, projects, and professional growth
- facilitate interactions through features such as CoopUp, CoopCast, recommendations, peer support, recognitions, portfolios, and creator content
Cooper does not guarantee:
- employment
- hiring outcomes
- partnerships
- compensation
- business opportunities
- admissions or acceptance into programs
All decisions made between users remain the sole responsibility of the parties involved.
User Content
You retain ownership of the content you create and upload to Cooper.
By posting content on Cooper, you grant Cooper a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, distribute, adapt, analyze, and promote such content solely for the operation, improvement, security, moderation, and promotion of the platform.
This license ends when content is deleted, except where:
- the content has been shared by others
- retention is legally required
- archival copies exist in backup systems
You are solely responsible for the content you upload.
Prohibited Content and Conduct
You may not use Cooper to:
- upload copyrighted content without authorization
- harass, threaten, or abuse others
- spread hate speech or violent extremist content
- share sexually exploitative content
- impersonate people, organizations, brands, or public figures
- manipulate recommendations, peer signals, badges, or visibility systems
- distribute malware or malicious code
- scrape platform data without authorization
- engage in fraud or deceptive behavior
- artificially inflate engagement metrics
- misuse AI-generated content to deceive users
Cooper may remove content or restrict accounts at its discretion when needed to protect users, platform integrity, legal compliance, or community trust.
Intellectual Property
All Cooper trademarks, branding, software, visual systems, interface elements, algorithms, and platform structures remain the property of Cooper.
This includes:
- Cooper
- CoopUp
- CoopCast
- platform naming systems
- logos
- interface systems
- peer-algorithm structures
- scoring systems
- recommendation systems
- discovery systems
- trust systems
- Impact Stars
- platform content
You may not copy, reverse engineer, or commercially exploit Cooper without written authorization.
AI and Authenticity
Cooper values authentic human signals.
Users may not use AI systems to:
- impersonate real individuals
- fabricate achievements
- falsify recommendations
- create deceptive portfolios
- manipulate trust systems
- simulate human endorsements
AI-assisted content must comply with Cooper’s AI Content Disclosure Policy.
Cooper reserves the right to label, limit, reduce visibility of, or remove deceptive AI-generated content.
CoopUp
CoopUp enables users and organizations to express intentional interest in collaboration, opportunities, applications, or professional interaction.
Cooper does not guarantee outcomes resulting from CoopUp interactions.
Users are solely responsible for:
- communications
- agreements
- hiring decisions
- payments
- collaborations
- contracts
- services
- deliverables
Cooper is not a party to agreements between users.
CoopCast
CoopCast is a creator feature within Cooper that allows users to record and publish short-form audio content directly within the platform feed.
CoopCast is designed to help users share ideas, experiences, perspectives, creativity, and professional potential through audio.
CoopCast content:
- may not exceed 90 seconds in duration
- must comply with all Cooper policies
- may not include unauthorized copyrighted music or audio
- may not contain deceptive, illegal, abusive, or infringing content
Users remain solely responsible for the audio content they publish through CoopCast.
By uploading CoopCast content, users confirm they have the rights necessary to use all included audio materials.
Cooper reserves the right to remove CoopCast content, mute copyrighted audio, restrict visibility, suspend accounts, or terminate repeat violators when necessary to protect copyright compliance, platform integrity, or community safety.
Moderation and Enforcement
Cooper may:
- review reported content
- remove content
- suspend features
- limit visibility
- issue warnings
- suspend accounts
- terminate accounts
when necessary to protect users, platform integrity, legal compliance, intellectual property rights, or community trust.
DMCA and Copyright
Cooper complies with the Digital Millennium Copyright Act (DMCA).

Disclaimers
The platform is provided “as is” and “as available.”
Cooper does not guarantee uninterrupted availability, accuracy of user content, compatibility with all devices, error-free operation, or outcome-based results.

Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, once Cooper is formally incorporated.
Until formal incorporation occurs, operational activities may be managed from Florida, United States.
Nothing in these Terms limits Cooper’s ability to comply with applicable laws in jurisdictions where the platform operates.
